The short version
- Your company owns its data. We use it only to provide Sealed Work.
- MOSES finds things and drafts things. People at your company make the decisions and send what goes out.
- Sealed Work reads from the systems you connect and never changes them.
- Your order form sets the price and term. If it conflicts with these terms, the order form wins.
1. These terms
These terms are an agreement between Sealed Work LLC ("Sealed Work", "we") and the company or organization that signs up ("Customer", "you"). The person accepting them confirms they can bind the Customer. They cover the Sealed Work application, MOSES, our connectors and our support (together, the "Service"). A signed order form or other written agreement with us is part of these terms, and it controls if the two conflict.
2. Accounts
- Accounts are by invitation. Your admins invite your people ("Users"), set their roles, and remove them.
- You're responsible for what happens under your Users' accounts. Keep sign-in details and authenticator devices secure, and tell us right away at security@sealedwork.com if you suspect misuse.
- Users must be at least 18 and must use their own account.
3. Your data
- "Customer Data" is everything you and your Users put into the Service or let it read, and what the Service produces from it for you, like findings, drafts and answers.
- You own Customer Data. You give us permission to host, process and display it only to provide, secure and support the Service for you, and as our privacy policy describes.
- We don't sell Customer Data, use it for advertising, or use it to train AI models.
- You're responsible for having the right to give us Customer Data and to connect the systems you connect.
- Don't put classified information into the Service. If your contracts require a specific standard for controlled unclassified information, check with us first about what the Service supports today.
4. Connected systems
You can connect third-party systems you already use. Sealed Work reads from them and never writes to them. Your use of each system stays under your agreement with its provider, and we aren't responsible for those systems, their availability, or changes they make to their APIs. If a provider changes or withdraws access, a connector may stop working until we update it.
5. MOSES and AI output
- MOSES reads your Customer Data and produces findings, answers and drafts. AI output can be wrong or incomplete. Check it before you rely on it.
- Sealed Work doesn't send invoices, letters or messages for you, and doesn't change your records in other systems. A person at your company reviews and sends anything that goes out.
- MOSES isn't a lawyer, accountant or contracting officer. Nothing in the Service is legal, tax, accounting or contracting advice.
- You're responsible for what you submit to customers, agencies and other parties, and for meeting the terms of your own contracts.
6. Acceptable use
Don't use the Service to:
- Break the law or anyone's rights, or upload content you have no right to use.
- Try to reach another customer's data, probe or break our security, or get around usage limits.
- Reverse engineer the Service, or copy it to build a competing product.
- Upload malware, or put instructions in documents meant to trick MOSES into ignoring the rules of the Service.
- Resell the Service or give access to people outside your organization, unless we agree in writing.
We may suspend access that puts the Service, other customers or the public at risk. We'll tell you why and work with you to restore it.
7. Fees
Fees, billing terms and any usage allowances are in your order form. Unless it says otherwise, fees are due within 30 days of invoice and don't include taxes. We'll give you at least 30 days' notice before a price change takes effect at your next renewal.
8. Beta features
Some features are marked beta or early access, and the whole Service may be offered as a beta before general release. Beta features are provided as is, may change or stop, and aren't covered by any service level commitment. We value your feedback on them.
9. Our property and feedback
We own the Service, including its software, MOSES, its design and our documentation. These terms don't transfer any of it to you. If you send us suggestions, we may use them without owing you anything, and we won't identify you or your data in doing so.
10. Confidentiality
Each of us will protect the other's non-public business information with at least reasonable care, use it only for this agreement, and share it only with people who need it and are bound to protect it. This doesn't cover information that is public, already known, independently developed, or that the law requires to be disclosed (with notice where allowed).
11. Security
We keep reasonable administrative, technical and physical safeguards for Customer Data, including a separate database and encryption key for each customer, multi-factor sign-in and an audit log. We'll notify you without undue delay if we confirm a breach affecting your Customer Data.
12. Term, ending and your data
- These terms last while you use the Service. Your order form sets your subscription term and renewal.
- Either of us may end the agreement if the other materially breaches it and doesn't fix the breach within 30 days of written notice.
- When the agreement ends, you can ask for an export of your Customer Data within 30 days. We then delete it as our privacy policy describes.
- Sections 3, 9, 10, 13, 14, 15 and 17 continue after the agreement ends.
13. Warranties and disclaimers
We'll provide the Service in a professional manner and keep its core functions working as described in our documentation. Otherwise, to the extent the law allows, the Service is provided "as is." We don't promise it will be uninterrupted or error free, that AI output will be accurate, or that it will meet requirements we haven't agreed to in writing.
14. Limitation of liability
To the extent the law allows, neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if warned they were possible. Each party's total liability under this agreement is limited to the fees you paid for the Service in the 12 months before the claim. These limits don't apply to your payment obligations, a breach of confidentiality, or either party's indemnity obligations.
15. Indemnity
We'll defend you against third-party claims that the Service infringes their intellectual property, and pay resulting damages and costs a court awards or we agree to in settlement. You'll defend us against third-party claims arising from Customer Data or your use of the Service in breach of these terms. The party asking for defense must give prompt notice, reasonable help, and control of the defense to the other.
16. Changes to these terms
We may update these terms. We'll post the new version here and, for material changes, email your admins at least 30 days before they take effect. If you don't agree, you can end your subscription before the change applies and we'll refund any prepaid fees for the unused term.
17. General
- These terms are governed by the laws of the State of Utah, without regard to its conflict of laws rules. The state courts in Davis County, Utah, and the federal court for the District of Utah have exclusive jurisdiction.
- Neither of us is liable for delays caused by events outside reasonable control.
- Neither of us may assign this agreement without the other's consent, except to a successor in a merger or sale of the business.
- If a court finds part of these terms unenforceable, the rest still applies. Not enforcing a term isn't a waiver.
- Notices to us go to legal@sealedwork.com. Notices to you go to the admin email on your account.
- These terms and your order form are the whole agreement about the Service.
